These Terms & Conditions govern your use of GenStudio and any products purchased through it. By creating an account or making a purchase you agree to these terms.

This website is operated by Genereum Studio L.L.C-FZ, a company registered in United Arab Emirates under trade licence 2652157.01, with its registered address at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates.

1. Definitions

• "We", "us", "our" means Genereum Studio L.L.C-FZ.
• "You", "your" means the person or entity using the website or holding an account.
• "Services" means the software tools, digital products and downloadable resources offered on this website.
• "Service period" means the agreed period for which access to the Services is provided and invoiced. Service periods do not renew automatically.

2. Accounts

To purchase or use the Services you must create an account and provide accurate, current information. You must be at least 18 years old, or the age of majority in your jurisdiction.

You are responsible for keeping your password confidential and for all activity under your account. Notify us immediately via our contact form if you believe your account has been accessed without authorisation.

3. Billing and Payment

Prices, billing periods, and applicable usage allowances are shown on the pricing page and on each product page.

Services are provided for the agreed service period. No automatic subscription renewal or recurring payment will apply.

At the end of each service period, we will issue a payment request or invoice for the services provided during that period. Payment is due in accordance with the payment terms specified on the applicable invoice or payment request.

If payment is not received by the applicable due date, we may suspend or restrict access to the relevant services until all outstanding amounts have been paid.

We reserve the right to change our prices. Any price changes will apply only to future service periods and will be communicated before the start of the applicable period.

Cancellation of services is governed by our Cancellation Policy. Any refunds or credits are governed by our Refund Policy.

4. Usage allowances

Each plan includes a stated allowance of AI generations or operations per service period. Allowances reset at the start of each period and do not carry over. Where an allowance is exhausted, you may upgrade your plan or wait for the reset.

We may apply reasonable technical limits to protect the stability of the Services, including rate limits on requests.

5. Acceptable use

You agree not to use the Services to:

• Break any applicable law or regulation.
• Infringe the intellectual property, privacy or other rights of any person.
• Generate content that is unlawful, defamatory, harassing, or that depicts or promotes harm.
• Generate deceptive content, including impersonation of real people or organisations.
• Attempt to gain unauthorised access to the Services, other accounts, or our systems.
• Resell, sublicense or redistribute access to the Services, or share account credentials beyond the seats included in your plan.
• Use automated means to extract data from the Services except as we expressly permit.
• Interfere with or place an unreasonable load on our infrastructure.

We may suspend or terminate accounts that breach these rules.

6. AI-generated output

Several products use AI models to generate content. You should be aware that:

• Output may contain inaccuracies and should be reviewed before you rely on or publish it.
• Output is not professional advice. It is not a substitute for legal, financial, medical or other qualified advice.
• Similar prompts may produce different results, and identical output is not guaranteed.
• You are responsible for how you use the output, including ensuring it complies with applicable law and third-party rights.

Subject to your compliance with these terms, you own the content you generate and may use it for personal and commercial purposes.

7. Your content

You retain ownership of the content you upload. You grant us a limited licence to store and process it solely to provide the Services to you. We do not claim ownership of your content and do not use it to train models. See our Privacy Policy.

8. Our intellectual property

The website, software, branding and template files are owned by us or our licensors. Purchasing access to the Services or a template pack grants you a licence to use the product, not ownership of it. You may not resell, redistribute or republish the template files themselves as a competing product.

9. Availability

We aim to keep the Services available continuously but do not guarantee uninterrupted access. We may carry out maintenance, and access may be affected by factors outside our control. We will give notice of planned maintenance where reasonably possible.

10. Third-party services

The Services rely on third-party providers, including AI model providers and payment processors. Interruption to a third-party service may affect availability. Payments are processed by our payment provider under their own terms.

11. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of or relating to the Services is limited to the amount you paid to us in the 12 months preceding the event giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data. Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify us against claims arising from your misuse of the Services or breach of these terms.

13. Termination

You may close your account at any time. We may suspend or terminate your account for breach of these terms, non-payment, or suspected fraud. On termination your right to use the Services ends immediately.

14. Changes to these terms

We may update these terms. Material changes will be notified by email or through the website at least 30 days before they take effect. Continued use after that date constitutes acceptance.

15. Governing law

These terms are governed by the laws of the United Arab Emirates. Disputes are subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
